These Website Terms of Use (the “Terms”) govern your access to and use of geologicai.com, resourcemodelingsolutions.com and any other website operated by GeologicAI Inc. or any of its affiliates that links to these Terms (each, a “Site”). The Sites are operated by GeologicAI Inc. and its affiliates, including Resource Modeling Solutions Ltd. (together, “GeologicAI”, “we”, “us” or “our”). References to “you” mean the individual using a Site and, where that individual uses a Site on behalf of an organization, that organization.
By accessing or using a Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Sites.
These Terms apply only to the Sites. Access to and use of the Digital Core Table platform, the RMSP portal and any other GeologicAI software, hosted service or professional service is governed by the GeologicAI Platform Terms of Service or by a written agreement between you (or your organization) and GeologicAI. Those terms prevail over these Terms for those products and services.
1.1 All content included on the Sites, including the design, text, software, graphics, images, audio and video, trade-marks, service marks, logos, slogans and internet domain names, and any selection or arrangement of them (the “Content”), is the property of GeologicAI or its licensors and is protected by copyright, trade-mark, patent and other intellectual property laws of Canada and other countries.
1.2 GeologicAI, Digital Core Table, RMSP, AMP and the related names, logos and designs are trade-marks of GeologicAI Inc. or its affiliates. Other names and marks shown on the Sites are the property of their respective owners. Nothing on the Sites grants any licence to use any trade-mark without our prior written consent.
1.3 All rights not expressly granted in these Terms are reserved by GeologicAI.
2.1 Subject to these Terms, GeologicAI grants you a limited, revocable, non-exclusive and non-transferable licence to view, download and print Content for your personal use or for your organization’s internal evaluation of GeologicAI’s products and services, provided that you do not modify the Content or remove any copyright, trade-mark or other proprietary notice.
2.2 Except as permitted in Section 2.1, none of the Content may be copied, reproduced, republished, posted, transmitted, stored, sold or distributed without the prior written permission of GeologicAI. GeologicAI may withdraw or terminate this licence at any time, without notice and without liability to you.
3.1 You will comply with these Terms and all applicable laws when using the Sites. You will not:
(a) post, transmit, link to or otherwise distribute any material or information that is unlawful, defamatory, infringing, obscene, indecent, threatening or harassing, or that constitutes, advocates or encourages conduct that would be a criminal offence or give rise to civil liability;
(b) post, transmit or otherwise distribute any virus or other harmful or disruptive code or component;
(c) interfere with the security or operation of, or otherwise abuse, the Sites or any system resource, account, server or network connected to or accessible through the Sites;
(d) attempt to gain unauthorized access to the Sites or to any portion of the Sites that is restricted from general access;
(e) use any robot, spider, scraper or other automated program or device, or any manual process, to monitor, copy, summarize or otherwise extract Content, in whole or in part;
(f) use any Content to train, test, fine-tune or improve any machine learning or artificial intelligence model, or to compile any dataset;
(g) sell, license, rent, modify or create derivative works of any Content, or reproduce, publicly display, perform, transmit, distribute or otherwise use any Content for any public or commercial purpose;
(h) use or attempt to use another person’s account, password or information without authorization, or create or use a false identity on the Sites; or
(i) access the Sites to monitor their availability, performance or functionality, or for any benchmarking or competitive purpose.
3.2 GeologicAI may investigate any violation of these Terms or of applicable law and may cooperate with law enforcement authorities in that regard.
4.1 The Content is provided for general information purposes only. Case studies, client examples, performance figures and other metrics shown on the Sites (including processing times, logging speeds and rates of discovery) are illustrative only. Actual results depend on the deposit, the data and the circumstances of each project, and no particular outcome is guaranteed.
4.2 Nothing on the Sites constitutes geological, engineering, technical, legal, financial or investment advice. Nothing on the Sites is a technical report, a mineral resource or mineral reserve estimate, or scientific or technical disclosure for the purposes of National Instrument 43-101, the JORC Code or any similar standard. You should not rely on the Sites or any Content in making, or refraining from making, any decision.
5.1 Some Content may contain forward-looking statements about GeologicAI’s products, technology, plans and expected performance. These statements reflect GeologicAI’s current expectations, are subject to risks and uncertainties, and may differ materially from actual results. GeologicAI has no obligation to update any forward-looking statement, except as required by law.
6.1 THE SITES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GEOLOGICAI DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT.
6.2 WITHOUT LIMITING SECTION 6.1, GEOLOGICAI DOES NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE, COMPLETE OR CURRENT, THAT THE SITES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, THAT ANY DEFECT OR ERROR WILL BE CORRECTED, OR THAT THE SITES OR THE CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITES IS SOLELY AT YOUR OWN RISK.
7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GEOLOGICAI OR ANY OF ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS OR AGENTS, BE LIABLE TO YOU OR TO ANY PERSON CLAIMING THROUGH YOU FOR ANY LOSS, CLAIM, COST OR DAMAGE OF ANY KIND, INCLUDING LOSS OF PROFITS, REVENUE, SAVINGS, DATA OR BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATING TO THE SITES, THE CONTENT, ANY INTERPRETATION OF OR RELIANCE ON THE CONTENT, OR ANY THIRD-PARTY WEBSITE, WHETHER IN CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 IF, DESPITE SECTION 7.1, GEOLOGICAI OR ANY OF ITS AFFILIATES IS FOUND LIABLE, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITES AND THE CONTENT WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
8.1 You will indemnify, defend and hold harmless GeologicAI and its affiliates, and their respective directors, officers, employees, contractors, agents, successors and assigns, from and against all claims, actions, demands, losses, liabilities and expenses (including reasonable legal and accounting fees) arising out of or relating to your use of the Sites or the Content, your breach of these Terms, or your violation of any applicable law or of the rights of any third party.
9.1 GeologicAI welcomes ideas and suggestions about its Sites, products and services (“Feedback”). Feedback is not confidential, and you are not entitled to any compensation for it. You grant GeologicAI a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable and sub-licensable licence to use, copy, modify, commercialize and otherwise exploit Feedback for any purpose, and you waive, and will cause to be waived, all moral rights in Feedback. You represent that you have the right to grant this licence.
9.2 Do not submit confidential information through the Sites unless a written confidentiality agreement with GeologicAI is in place.
10.1 Personal information collected through the Sites is handled in accordance with the GeologicAI Privacy Policy, available at [link]. The Sites use cookies and similar technologies as described in the Privacy Policy and in the cookie settings presented on the Sites.
10.2 GeologicAI may monitor use of the Sites for security, troubleshooting and the enforcement of these Terms, but has no obligation to do so. Communications sent over the internet are not completely secure, and GeologicAI does not guarantee the confidentiality of any communication sent to it through the Sites.
11.1 The Sites may contain links to websites operated by third parties. GeologicAI does not control and is not responsible for any third-party website, its content or its privacy practices. A link does not imply any endorsement by GeologicAI. Your use of any third-party website is at your own risk and subject to that website’s terms.
12.1 You may link to the Sites, including to internal pages, provided that the link is not misleading, does not suggest any affiliation with or endorsement by GeologicAI that does not exist, and does not frame the Sites or present them alongside any sponsorship, advertising or other commercial text or graphics. GeologicAI may withdraw its permission to link at any time.
13.1 You will not access the Sites or download any Content in breach of the export control or economic sanctions laws of Canada or the United States.
14.1 GeologicAI may modify, add to, delete from or otherwise update these Terms at any time by posting the revised Terms on the Sites. Changes take effect 24 hours after they are first posted. Your continued use of the Sites after that time constitutes your acceptance of the changes. You are responsible for reviewing these Terms regularly.
15.1 These Terms are governed by and interpreted in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of laws principles. You submit to the exclusive jurisdiction of the courts of Alberta sitting in Calgary for any claim relating to the Sites or these Terms, and you agree not to bring any action against GeologicAI, its affiliates or their respective directors, officers, employees, agents, successors or assigns in any other jurisdiction.
16.1 These Terms are the entire agreement between you and GeologicAI concerning the Sites. If you or your organization has a written agreement with GeologicAI, that agreement prevails over these Terms to the extent of any conflict.
16.2 If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be severed and the remainder of these Terms will remain in full force and effect.
16.3 GeologicAI’s failure to enforce or insist on strict performance of any provision of these Terms is not a waiver of that provision or of any later breach.
16.4 These Terms are personal to you and may not be assigned by you, in whole or in part. These Terms enure to the benefit of GeologicAI and its successors and assigns.
16.5 The parties have expressly required that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que les présentes conditions et tous les documents qui s’y rattachent soient rédigés en anglais.
